These Terms and Conditions ("Terms") govern access to and use of the May Traders wholesale platform ("Platform") operated by Maytraders (사업자등록번호: 522-11-02673), located at #J174 3FL, 408-1, Bongcheon-ro, Gwanak-gu, Seoul, Republic of Korea. By registering for an account or placing an order through the Platform, you ("Reseller") agree to be bound by these Terms in full. If you do not agree, you must not use the Platform. These Terms apply exclusively to business-to-business (B2B) transactions. The Platform is not available to consumers acting in a personal capacity.

2.1 To access wholesale pricing and place orders, you must apply for a Reseller account. Submission of an application does not guarantee approval. 2.2 May Traders reserves the right to approve or reject any application at its sole discretion, without obligation to provide a reason. 2.3 You represent that all information provided during registration is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 2.4 May Traders may suspend or terminate your account at any time if you breach these Terms, provide false information, or engage in conduct that May Traders reasonably considers harmful to its business or other users.

3.1 All orders placed through the Platform constitute an offer to purchase, not a binding contract. A contract is formed only when May Traders sends written confirmation of the order. 3.2 May Traders reserves the right to decline or cancel any order at any time, including after confirmation, due to pricing errors, product unavailability, or export restrictions. In such cases, any payment received will be refunded in full. 3.3 Minimum Order Quantities (MOQ) apply per product and are shown on each product listing. Orders below the stated MOQ will not be accepted. 3.4 Order quantities are expressed in boxes. Each box contains the number of units stated in the product listing.

4.1 All prices listed are wholesale prices per unit in Korean Won (KRW) unless otherwise stated. Displayed prices in other currencies (USD, SGD, EUR, etc.) are indicative only and calculated using reference exchange rates that may differ from the rate applied at time of invoicing. 4.2 The binding transaction currency is KRW. The KRW amount stated on the order confirmation is the amount due. 4.3 Prices are subject to change without notice. The price applicable to your order is the price confirmed at the time of order acceptance. 4.4 Prices do not include customs duties, import taxes, VAT, or any other charges levied in the destination country. These are the Reseller's sole responsibility.

5.1 Payment is due by bank transfer to the following account within 3 business days of order confirmation, unless otherwise agreed in writing: Bank: KEB Hana Bank Account Number: 768-910009-67638 Account Name: Maytraders SWIFT Code: KOEXKRSE Branch: 135 Jungdae-ro, Songpa-gu, Seoul, Republic of Korea (05717) 5.2 You must quote your order number as the payment reference. May Traders cannot be held responsible for delays caused by failure to include a reference. 5.3 All bank transfer fees, including intermediary and correspondent bank charges, are borne by the Reseller. The full invoiced amount must be received net of all charges. 5.4 Goods will not be released until full payment is confirmed. May Traders is not liable for any loss arising from delays caused by late payment. 5.5 In the event of late payment, May Traders reserves the right to charge interest at the rate of 12% per annum on the outstanding amount, calculated from the due date.

6.1 Default terms are Ex Works (EXW) — Gwanak-gu, Seoul, Republic of Korea. Risk and responsibility for the goods passes to the Reseller from the moment the goods are made available at May Traders' premises. 6.2 May Traders can arrange shipping on behalf of the Reseller through couriers including FedEx and other carriers. Where May Traders arranges shipping, it acts as agent only — freight costs, insurance, and carrier liability terms are passed through to the Reseller at cost. 6.3 Estimated lead times are provided in good faith but are not guaranteed. May Traders is not liable for delays caused by carriers, customs authorities, force majeure, or other circumstances beyond its reasonable control. 6.4 The Reseller is responsible for complying with all import regulations, obtaining necessary licences, and paying all import duties and taxes applicable in the destination country. 6.5 Risk of loss or damage during transit, when shipping is arranged by the Reseller or its freight forwarder, is borne entirely by the Reseller from the point of collection.

7.1 The Reseller must inspect all goods promptly upon receipt (or, for EXW orders, upon collection) and notify May Traders in writing of any shortage, visible damage, or non-conformity within 5 business days of receipt. Claims made after this period will not be accepted. 7.2 Photographic evidence and the original packaging must be retained and provided to May Traders upon request to support any claim. 7.3 May Traders' liability for accepted claims is limited to, at its option: replacement of the defective goods, or a credit note for the value of the affected items. May Traders is not liable for consequential, indirect, or special losses.

8.1 Given the wholesale nature of the Platform, returns are generally not accepted once goods have been released. Returns may be considered at May Traders' sole discretion where goods are found to be materially defective. 8.2 Order cancellations requested after order confirmation are subject to a restocking fee of up to 20% of the order value. Cancellations are not accepted once goods have been prepared for dispatch. 8.3 Custom orders, specially sourced products, or products marked as non-returnable are final sale and cannot be cancelled or returned under any circumstances.

9.1 All content on the Platform — including product images, descriptions, pricing, branding, and software — is the property of May Traders or its licensors and is protected by applicable intellectual property laws. 9.2 You may not reproduce, redistribute, or use any Platform content for any purpose other than evaluating and placing orders through the Platform, without prior written consent from May Traders. 9.3 Product images and brand materials supplied by May Traders may be used by approved Resellers solely for the purpose of reselling the purchased products, subject to any brand guidelines provided by the manufacturer.

10.1 To the maximum extent permitted by applicable law, May Traders' total liability to the Reseller in connection with any order or use of the Platform shall not exceed the value of the order giving rise to the claim. 10.2 May Traders is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, loss of business, or loss of data, regardless of the cause. 10.3 The Platform is provided "as is". May Traders does not warrant that the Platform will be uninterrupted, error-free, or free from viruses.

11.1 These Terms are governed by and construed in accordance with the laws of the Republic of Korea. 11.2 Any dispute arising out of or in connection with these Terms or any order placed through the Platform shall first be subject to good-faith negotiation between the parties for a period of 30 days. 11.3 If the dispute is not resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Seoul, Republic of Korea.

May Traders reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. For material changes, May Traders will endeavour to provide advance notice by email.
