Terms & Conditions

These Terms and Conditions ("Terms") govern access to and use of the KGW (Korean Goods Wholesale) wholesale platform ("Platform") operated by MayTraders Inc. (사업자등록번호: 385-81-04167), located at 4F 403, 10, Ogeum-ro 11-gil, Songpa-gu, Seoul, Republic of Korea. In these Terms, "KGW" refers to the Platform and "MayTraders Inc." refers to the company that operates it. By registering for an account or placing an order through the Platform, you ("Reseller") agree to be bound by these Terms in full. If you do not agree, you must not use the Platform. These Terms apply exclusively to business-to-business (B2B) transactions. The Platform is not available to consumers acting in a personal capacity.

2.1 To access wholesale pricing and place orders, you must apply for a Reseller account. Submission of an application does not guarantee approval. 2.2 MayTraders Inc. reserves the right to approve or reject any application at its sole discretion, without obligation to provide a reason. 2.3 You represent that all information provided during registration is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 2.4 MayTraders Inc. may suspend or terminate your account at any time if you breach these Terms, provide false information, or engage in conduct that MayTraders Inc. reasonably considers harmful to its business or other users. 2.5 Amazon and other marketplace sellers. Many brands supplied by KGW manage their Amazon and other marketplace channels directly or through authorized partners. Accordingly, neither KGW nor MayTraders Inc. grants or implies any authorization to resell products on Amazon or on any other third-party marketplace, and no account approval, order, invoice or communication shall be read as granting one. Any resale on Amazon or another marketplace is at the Reseller's sole risk, and the Reseller must not state or imply that KGW, MayTraders Inc. or any brand has authorized or approved it. Invoices, receipts and other documents issued by MayTraders Inc. serve solely as evidence of the underlying wholesale transaction and do not constitute brand authorization, marketplace approval, or permission to resell on any platform; they must not be submitted to Amazon or any marketplace as proof of authorization. MayTraders Inc. does not respond to Amazon or other marketplace verification, authenticity or authorization requests and does not provide letters of authorization or brand approval documents. MayTraders Inc. may suspend or terminate the account of a Reseller who breaches this clause (see clause 2.4).

3.1 All orders placed through the Platform constitute an offer to purchase, not a binding contract. A contract is formed only when MayTraders Inc. sends written confirmation of the order. 3.2 After written confirmation, MayTraders Inc. may cancel an order only if (a) the goods are out of stock or can no longer be supplied by the brand or supplier, (b) there was an obvious pricing error, (c) an export restriction or legal prohibition applies, or (d) the brand or supplier materially raises its unit price after confirmation. In case (d) MayTraders Inc. will first offer the Reseller the option to proceed at the revised price; if the Reseller declines, the order is cancelled. In each case any payment received will be refunded in full within 7 days of MayTraders Inc.'s notice of cancellation. 3.3 Minimum Order Quantities (MOQ) apply per product and are shown on each product listing. Orders below the stated MOQ will not be accepted. 3.4 Order quantities are expressed in boxes. Each box contains the number of units stated in the product listing.

4.1 All prices listed are wholesale prices per unit, referenced in Korean Won (KRW), unless otherwise stated. Displayed prices in other currencies (USD, SGD, EUR, etc.) while browsing are indicative only and calculated using reference exchange rates that may differ from the rate applied at time of invoicing. 4.2 At checkout you choose how you pay: bank transfer in KRW, bank transfer in USD, or card in USD. The binding transaction currency and amount is the one shown in that payment step and stated on your order confirmation — that is the amount due, not the reference KRW price shown while browsing. 4.3 Prices are subject to change without notice. The price applicable to your order is the price confirmed at the time of order acceptance. 4.4 Prices do not include customs duties, import taxes, VAT, or any other charges levied in the destination country. These are the Reseller's sole responsibility.

5.1 Payment is due by bank transfer to the following account within 3 business days of order confirmation, unless otherwise agreed in writing: Bank: KEB Hana Bank Account Number: 768-910009-67638 Account Name: MAYTRADERS INC. SWIFT Code: KOEXKRSE Branch: 135 Jungdae-ro, Songpa-gu, Seoul, Republic of Korea (05717) 5.2 You must quote your order number as the payment reference. MayTraders Inc. cannot be held responsible for delays caused by failure to include a reference. 5.3 All bank transfer fees, including intermediary and correspondent bank charges, are borne by the Reseller. The full invoiced amount must be received net of all charges. 5.4 Goods will not be released until full payment is confirmed. MayTraders Inc. is not liable for any loss arising from delays caused by late payment. 5.5 In the event of late payment, MayTraders Inc. reserves the right to charge interest at the rate of 12% per annum on the outstanding amount, calculated from the due date. 5.6 For orders of US$10,000 or more (or the equivalent), payment may be split into a deposit paid to confirm the order and a balance paid before dispatch. The deposit share is agreed in writing for each order. In all cases the goods are released only after the full invoiced amount has been received. 5.7 For Pre-orders, the deposit and the due date of the balance are stated on the order confirmation and apply in place of clause 5.1 where they differ.

6.1 Default terms are Ex Works (EXW) — Gwangmyeong-si, Gyeonggi-do, Republic of Korea. Risk and responsibility for the goods passes to the Reseller from the moment the goods are made available at MayTraders Inc.'s premises. 6.2 MayTraders Inc. can arrange shipping on behalf of the Reseller through couriers including FedEx and other carriers. Where MayTraders Inc. arranges shipping, it acts as agent only — freight costs, insurance, and carrier liability terms are passed through to the Reseller at cost. 6.3 Estimated lead times are provided in good faith but are not guaranteed. MayTraders Inc. is not liable for delays caused by carriers, customs authorities, force majeure, or other circumstances beyond its reasonable control. 6.4 The Reseller is responsible for complying with all import regulations, obtaining necessary licences, and paying all import duties and taxes applicable in the destination country. 6.5 Risk of loss or damage during transit, when shipping is arranged by the Reseller or its freight forwarder, is borne entirely by the Reseller from the point of collection. Damage, loss or theft in transit must be claimed from the carrier or forwarder (including a carrier booked by MayTraders Inc. as agent under clause 6.2); on request MayTraders Inc. will help by providing order, packing and shipping documents. 6.6 For orders of US$10,000 or more, MayTraders Inc. will on request send photos or a video of the packed goods before dispatch, and the Reseller may appoint a third-party inspection company at its own cost, with access arranged in advance. 6.7 MayTraders Inc. supplies goods with as much remaining shelf life as it can reasonably obtain. The expiry date shown on the product listing, quotation or order confirmation is the date the Reseller can rely on. If goods arrive with a materially shorter shelf life than stated, or any other shelf-life concern arises, the parties will agree a solution by consultation, which may include a discount, credit, exchange or refund of the affected items.

7.1 The Reseller must inspect all goods promptly after they arrive at the delivery address named by the Reseller (for EXW shipments, the final destination) and notify MayTraders Inc. in writing of any shortage, visible damage, or non-conformity within 7 days of arrival. Claims made after this period will not be accepted. Damage, loss or theft in transit is claimed from the carrier or forwarder as set out in clause 6.5. 7.2 Every claim must be supported by photo or video evidence of the problem (including the outer carton, the product label and the batch or expiry marking where relevant). The affected goods and the original packaging must be kept and must not be disposed of until MayTraders Inc. confirms the outcome of the claim. 7.3 For a claim substantiated under clause 7.2 that goods are defective or materially different from what was ordered, MayTraders Inc. will replace the affected goods or issue a credit note for their value. If a replacement cannot be supplied, for example because it is out of stock, MayTraders Inc. will refund the value of the affected items. Damage in transit is dealt with under clause 6.5 and shelf-life concerns under clause 6.7. MayTraders Inc. is not liable for consequential, indirect, or special losses.

8.1 Given the wholesale nature of the Platform, returns for change of mind or over-ordering are not accepted once goods have been released. Goods that are defective, damaged, or materially different from what was ordered are handled under clause 7. 8.2 Ready Stock orders may be cancelled free of charge until MayTraders Inc. begins preparing the goods for dispatch. Pre-order items are sourced specifically for the Reseller, so cancelling leaves MayTraders Inc. holding the goods: a deposit, set for each Reseller and stated on the order confirmation, secures the order. A Pre-order may be cancelled with a full refund of the deposit only until MayTraders Inc. has placed the corresponding order with its brand or supplier (and in any case within 48 hours of being placed). After that point the deposit is forfeited to cover the costs of the supplier order. Refunds under this clause are paid within 7 days. Further details are in the Refund & Cancellation Policy. 8.3 Custom-made orders and products marked as non-returnable are final sale and cannot be returned for change of mind. Pre-orders follow clause 8.2. Claims for defective or non-conforming goods under clause 7 are not affected.

9.1 All content on the Platform — including product images, descriptions, pricing, branding, and software — is the property of MayTraders Inc. or its licensors and is protected by applicable intellectual property laws. 9.2 You may not reproduce, redistribute, or use any Platform content for any purpose other than evaluating and placing orders through the Platform, without prior written consent from MayTraders Inc.. 9.3 Product images and brand materials supplied by MayTraders Inc. may be used by approved Resellers solely for the purpose of reselling the purchased products, subject to any brand guidelines provided by the manufacturer.

10.1 To the maximum extent permitted by applicable law, MayTraders Inc.'s total liability to the Reseller in connection with any order or use of the Platform shall not exceed the value of the order giving rise to the claim. 10.2 MayTraders Inc. is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, loss of business, or loss of data, regardless of the cause. 10.3 The Platform is provided "as is". MayTraders Inc. does not warrant that the Platform will be uninterrupted, error-free, or free from viruses.

11.1 These Terms are governed by and construed in accordance with the laws of the Republic of Korea. 11.2 Any dispute arising out of or in connection with these Terms or any order placed through the Platform shall first be subject to good-faith negotiation between the parties for a period of 30 days. 11.3 If the dispute is not resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Seoul, Republic of Korea.

MayTraders Inc. reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. For material changes, MayTraders Inc. will endeavour to provide advance notice by email.
